The Holō Collective Buddy Pass Perk Terms & Conditions (Updated as of June 10, 2024)

The Holō Collective Buddy Pass Perk (the “Perk”) is a benefit for clients who purchased a membership with The Holō Collective. The Perk provides one (1), three (3), or six (6) buddy passes to eligible members so that those members can provide friends and family with the opportunity to participate with the member in eligible in-studio yoga classes at The Holō Collective. By participating in this Perk, you agree to all Studio Terms & Conditions outlined in our waiver (including any updates or modified terms from time to time). If you do not agree to these Perk Terms and Conditions, please do not participate in the Perk.

Member Eligibility

The Perk is open only to The Holō Collective clients who have an active membership in the Monthly, Quarterly, or Annual Membership categories, and whose membership is in good standing, and not subject to any freeze or cancellation, suspension, termination, or other action by The Holō Collective.

Buddy Passes General Understanding

A buddy pass in the Perk (a “Buddy Pass”) allows an eligible Buddy Pass transferee (referred to as a “buddy” in these Perk Terms & Conditions) to practice along with the member who provided the Buddy Pass at The Holō Collective (1) eligible in-studio yoga class at no cost for the class itself (additional studio charges may apply for non-included items (e.g., mat rentals, etc.) during the period in which the Buddy Pass is valid. Classes are subject to availability and must be reserved and used as described below. A Buddy Pass (including the class for which it is used) is valid only during the transferring member’s membership period of 30 days for Monthly, 90 days for Quarterly, or 360 days for Annual purchases. Buddy Passes are subject to earlier termination as described in these Perk Terms & Conditions. A Buddy Pass must be transferred, accepted and used during the Buddy Pass Period or it will automatically terminate. Buddy Passes do not accumulate. There is a limit of (1) Buddy Pass for a Monthly purchase, (3) Buddy Passes for a Quarterly Purchase, and (6) Buddy Passes for an Annual Purchase. Buddy Passes have no monetary value, are not redeemable for cash, credit or any substitute. Buddy Passes cannot be combined with any other offer, coupon or promotion, or applied to a prior purchase. Buddy Passes are non-refundable meaning any applied Buddy Passes will be deducted from the allotted amount even if the buddy does not attend the class.

Issuance and Availability of Buddy Passes

On the billing date for a member’s applicable membership purchase, The Holō Collective will issue (1), (3), or (6) Buddy Passes to an eligible member’s membership account. The Holō Collective may change the number of membership Buddy Passes and/or add additional Buddy Pass(es) issued to all or any portion of eligible member’s accounts; all such Buddy Pass(es) shall be subject to these Perk Terms and Conditions. To see your Buddy Pass(es), active members must log into your Mindbody account and navigate to the profile section of your account. Under the account, you will see when the Buddy Passes expire which will correlate to the expiration of the Membership itself if not sooner for any reason.

Applying a Buddy Pass; Limits and Restrictions

After delivery of a Buddy Pass to The Holō Collective membership account, you may participate in the Perk by transferring the Buddy Pass to anyone you want to. Sign in to your membership account and follow the instructions to transfer a Buddy Pass, including providing all required information (a valid email address for your buddy) so we may invite your buddy to accept the Buddy Pass. The Holō Collective shall have no liability of any kind, to you or your intended buddy whatsoever, related to any failure to the transfer (or attempted transfer) of a Buddy Pass. Participation in the Perk is voluntary, and you have no obligation to participate in the Perk or transfer any Buddy Passes.

To apply a Buddy Pass, there must be enough room in the intended class for both the member and the buddy. The member must provide their buddy’s information; the member must also confirm that they have secured permission from their buddy to provide the required information, including the buddy’s email and contact information. If you do not have your buddy’s express permission to provide their information, do not transfer a Buddy Pass to that person.

Buddy Passes are non-transferrable after the original application by an eligible member who was originally issued the Buddy Pass by The Holō Collective, and any attempted further transfer shall be void. You can only bring one buddy to a class and you must also be attending the class with them. It is a violation of these Perk Terms & Conditions for Buddy Pass transferring members and/or buddies to (a) obtain (or attempt to obtain) additional Buddy Passes for a buddy beyond the limit stated above by using multiple/different email addresses, or identities, registrations and logins, or any other method, or (b) monetize (or attempt to monetize) or create (or attempt to create) a market of any kind for Buddy Passes, and any such Buddy Passes issued in connection with any such activities are subject to termination by The Holō Collective; the transferring member and/or buddy, as applicable, shall be in breach of these Perk Terms & Conditions, and The Holō Collective reserves the right to take such action as it determines with respect to such person, and their membership, if any, and account, including without limitation, termination of such membership and/or account.

Accepting a Buddy Pass

A buddy must follow the links and instructions in the Buddy Pass email to create an account and complete the waiver with The Holō Collective if the buddy does not have an account (as a member or otherwise), and complete the transfer of the Buddy Pass to the buddy’s account. The Holō Collective will not inform a transferring member whether an invitation has been successfully accepted or not by a buddy, the pass will already be automatically deducted.

Using a Buddy Pass

To use a Buddy Pass, a buddy must have the member who transferred the Buddy Pass make an online reservation for both the member and the buddy of an eligible in-studio class at The Holō Collective, in each case, subject to class availability. If there is unavailability in a desired class, a member cannot waitlist a buddy for a class. Additional studio charges may apply for non-included items (e.g., mat rentals, paid workshops or themed/special classes that are not free to members, etc.) which must be paid by a member or buddy in advance of participation. Classes are personal to a buddy, and are not assignable or transferrable. Classes are subject to restrictions, which may vary from time to time.

The Holō Collective maintains a minimum cancellation policy for class reservations (currently twelve (12) hours prior to class start, which policy may be subject to change in the future).

Termination of Buddy Passes

In addition to the other termination circumstances described in these Perk Terms & Conditions, (a) all of a member’s Buddy Passes, whether or not accepted by a buddy (including, without limitation, any reservations made using a Buddy Pass) will be automatically terminated, without further notice to the transferring member or any buddy, if the member to whom a Buddy Pass was originally issued cancels or freezes their membership, or if The Holō Collective terminates or takes any adverse action with respect to such transferring member’s membership or active account, (b) a buddy’s Buddy Pass will be automatically terminated (unless such termination is waived by The Holō Collective in its sole discretion) if The Holō Collective terminates or takes any adverse action with respect to a buddy’s membership (if applicable) or account, or (c) The Holō Collective, in its sole discretion, terminates the Perk.

These Perk Terms & Conditions May Change

We may change these Perk Terms & Conditions; change, add, or eliminate eligible membership categories, Perk benefits, or participating categories; or change or end the Perk or any feature of the Perk; in whole or in part, at any time, and without notice or compensation, even though such actions may affect benefits in the Perk or your or your buddy’s participation in the Perk.

The Holō Collective reserves the right to modify or add to these Perk Terms & Conditions at any time, effective as of the posting of the new or revised Perk Terms & Conditions or a later date as may be specified in the new or revised Perk Terms & Conditions. Members and buddies agree that we may notify them of the new or revised Perk Terms & Conditions by making them available at www.theholocollective.com, and that participation in the Perk (as a member or buddy) after the effective date of the new or revised Perk Terms & Conditions (or engaging in such other conduct as we may reasonably specify) constitutes agreement to the new or revised Studio Policies. We therefore encourage members and buddies to review these Perk Terms & Conditions every time an individual participates in the Perk, along with our Studio Policies in the event there are any changes. We may also provide notice of any update to these Perk Terms & Conditions in other ways in our discretion, such as through contact information provided by The Holō Collective account holder, all in accordance with applicable laws and our Privacy Policy.

Compliance with The Holō Collective Rights as a Participant

By participating in the Perk, whether as a member or buddy, a member and buddy agrees to observe all rules and directions of The Holō Collective (in-person, online or otherwise) at which any activities take place. We reserve the right to take any action that we deem appropriate in the exercise of our discretion, including but not limited to suspension or termination of privilege to participate in such activities, for violation of The Holō Collective's Rights.

Interpretation

The Holō Collective reserves the right to interpret and apply these Perk Terms & Conditions. All determinations by The Holō Collective shall be final and conclusive in each case. Our failure to enforce any term of these Perk Terms & Conditions shall not constitute a waiver of that provision or any other provision of these Perk Terms & Conditions.
